Terms of Service
1. Who this is between
These terms are between you (the Customer) and the operator of this platform (the Provider), and they govern your use of the hosting service, the management console, and any instance provisioned for you.
By creating an account, starting a trial, or using an instance, you accept these terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.
2. What we provide
We provision and operate Odoo instances on your behalf. Depending on the plan, an instance is either dedicated to you or shares a host with other customers; in both cases your database and files are separate from theirs.
We are responsible for the infrastructure, the operating system, the database engine, backups, and keeping the instance reachable. We are not the authors of Odoo itself, and we do not warrant that any third-party module behaves as its author describes.
3. What you are responsible for
- The accuracy and lawfulness of the data you put into your instance.
- Your users' credentials, and revoking access when someone leaves.
- Any module, customisation or integration you install or ask us to install, including whether you are licensed to use it.
- Complying with the Acceptable Use Policy.
4. Your data is yours
You retain all rights to the data in your instance. We claim no ownership and will not use it for any purpose other than operating the service for you. You may export it at any time; on request we will provide a database dump and a copy of the file store.
5. Availability
Availability commitments, planned maintenance, and what happens when we miss them are set out in the Service Level Agreement. Where that document and these terms differ on availability, the Service Level Agreement governs.
6. Fees
Fees, billing period and currency are those shown when you subscribed. Unless stated otherwise, fees are payable in advance and are exclusive of any tax we are required to charge. We will give at least thirty days' notice before changing the price of an existing subscription.
7. Trials
A trial instance is provided free, for evaluation, for the period stated when it was created. It carries no availability commitment, may have outbound email disabled, and is deleted at the end of the trial unless converted to a paid subscription. Do not put data in a trial that you cannot afford to lose.
8. Suspension
We may suspend an instance without notice where it is being used in breach of the Acceptable Use Policy, where it threatens the stability or security of the platform, or where we are required to by law. Where the reason permits it, we will tell you first and give you a chance to fix it.
We may suspend for non-payment after written notice and a reasonable period to pay. Suspension for non-payment does not delete your data; see section 9.
9. Ending the agreement
You may cancel at any time, effective at the end of the current billing period. We may terminate for material breach that is not remedied within thirty days of written notice.
After termination we keep your data for thirty days so you can retrieve it, then delete it, including from backups on their normal rotation. Ask us before that window closes if you need an export.
10. Liability
Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to that, our total liability in any twelve-month period is limited to the fees you paid in that period, and neither party is liable for indirect or consequential loss, or for loss of profit, revenue or anticipated savings.
We are not liable for loss of data to the extent it results from your own deletion, your configuration, or a third-party module you asked us to install. Our backup obligations are described in the Service Level Agreement.
11. Changes to these terms
We may change these terms. Material changes take effect thirty days after we tell you, by email and by publishing the new version here. Continuing to use the service after that is acceptance. Every previous version remains available on request.
12. Law
These terms are governed by the laws of the Republic of Ghana, and the courts of Ghana have exclusive jurisdiction.
